Website Design Service Collaboration Agreement

Article 1 – PARTIES

This agreement is made between PFN YAZILIM REKLAM VE DANIŞMANLIK HİZMETLERİ – YILMAZ SANDIKÇI (hereinafter referred to as the “AGENCY”) on one side, and the CLIENT on the other side, under the terms and conditions outlined below.

1.2. The parties may also make notifications via other means, such as postal courier, fax, or electronic mail, provided that written notification is made within the legal period.

Article 2 – SUBJECT

This agreement covers the preparation and publication of a website by the AGENCY for the CLIENT, needed to carry out the CLIENT’s communication, promotion, advertising, and similar services. The proposal summary is an integral part of this agreement.

Article 3 – AGENCY’S OBLIGATIONS

3.1 The AGENCY is obliged to prepare the software (website design) required by the CLIENT for promotion and advertising and to publish it during the validity period of the agreement.

3.2 The AGENCY is responsible for correcting any errors and problems related to the services provided to the CLIENT as soon as possible.

3.3 The AGENCY declares that it will make the necessary adjustments within 7 working days after completing the necessary studies for simple changes (corrections that do not require design and code changes) in the existing sections of the design prepared for the CLIENT.

3.4 The initial interface design of the website will be published within (10) working days at the latest from the agreement date, and the final publication (interface and database) will be made within (10) working days at the latest.

3.5 After the completion of the website’s interface design work, the website design presentation meeting will be held at the AGENCY’s office within working hours, as mutually agreed.

3.6 After completing the publication work of the website, the panel usage training meeting will be held at the AGENCY’s office within working hours, as mutually agreed.

Article 4 – CLIENT’S OBLIGATIONS

4.1 The CLIENT is obliged to provide the necessary image and text-based documents for organizing and designing the web-based software. The AGENCY cannot be held responsible for delays caused by the CLIENT’s failure to provide the necessary documents on time.

4.2 The CLIENT accepts and declares that the copyright of the techniques used in the website design developed by the AGENCY belongs to the AGENCY and that the website design will not be reproduced or distributed in any way.

4.3 The CLIENT acknowledges and declares that, according to legal regulations, the right to access source codes is solely held by the AGENCY to detect software security vulnerabilities and prevent the copying and commercial use of website design techniques.

4.4 The CLIENT accepts and declares that all opinions, expressions, comments, and writings expressed belong to them and that the AGENCY is not responsible in any way.

4.5 The AGENCY cannot be held responsible for data losses caused by users in the database.

4.6 If third parties provide links to the website, the AGENCY cannot be held responsible for these links.

4.7 For international domain name registrations such as .com, .net, .org, the terms and rules on http://www.icann.org apply, and for domestic domain name registrations, the rules of ODTU DNS Management apply. The client is deemed to have accepted these terms when receiving the registration service.

Article 5 – SERVICE DURATION

5.1 The service duration committed by this agreement is determined as 1 (one) year.

5.2 At the end of one year, the AGENCY will bill the CLIENT for annual fees for domain name, server renewal costs, annual maintenance fees, and consultancy services.

5.3 In the event of non-payment, the AGENCY reserves the right to defer, suspend, cancel the committed service, or take legal action to collect the payment.

Article 6 – COMPETENT COURTS AND ENFORCEMENT OFFICES

In any legal disputes that may arise between the parties due to this agreement, Istanbul (Çağlayan) Courts and Enforcement/Bankruptcy Offices are authorized.

This agreement, consisting of 6 (six) articles and 1 (one) proposal summary, was drawn up on 01.01.2022.
